LLP Winding Up can be completed by either the LLP partners or the partners individually. Typically, a majority of partners must declare that they have no unpaid debts or are arranging to pay them in a certain time period. The process of winding up can be delayed, but it can be completed by the LLP. The LLP Winding Up can also be initiated by one partner, or all of them. During the winding-up process, the partners must agree to strike the LLP off the Companies.When an LLP is being wound up, the partners must pass a resolution, which must be approved by a majority of the total partners. After the LLP passes this resolution, the winding-up process begins. The date of the winding-up resolution is considered the date of the resolution. The winding-up notice must be published in a newspaper circulating in the registered office or principal place of the LLP. An LLP Winding-Up resolution must be passed by at least three-fourths of the total number of partners. The resolution must be filed in Form 1 with the Registrar within 30 days. It must also be given to the person appointed to wind up the LLP. This form of LLP resolutions can also be amended through a majority of the partners. In some cases, the LLP winding-up process may be initiated by a single partner.
